Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 22, 2024, Energy Transfer LP (“ET”), the sole member of USA Compression GP, LLC (the “General Partner”), the general partner of USA Compression Partners, LP (the “Partnership”), set the size of the board of directors of the General Partner (the “Board”) at nine and appointed Clifford A. Harris to serve as a director on the Board effective as of February 26, 2024.
There are no arrangements or understandings between Mr. Harris and any other persons pursuant to which he will serve as a director. As an outside director, Mr. Harris will receive compensation from the Partnership for his service as a director on the Board pursuant to the General Partner’s Amended and Restated Outside Director Compensation Policy, as described in the Partnership’s Annual Report on Form 10-K filed with the U.S. Securities and Exchange Commission on February 13, 2024, including an award of 2,500 phantom units upon his appointment to the Board. There are no relationships between Mr. Harris and the General Partner or the Partnership that would require disclosure pursuant to Item 404(a) of Regulation S-K.
